Mark Morabito, BA, JD

Mr. Morabito started his career as a corporate finance and securities lawyer in Toronto in 1994. In 2001, he made the jump to the business side, founding what is now King and Bay West, a merchant bank and technical services group based in Vancouver. King and Bay West specializes in incubating junior companies and financing and leading them through the IPO and senior listings stages. Mr. Morabito has over 20 years’ experience in public markets and extensive experience in capital-raising and corporate development, having raised over CDN$800 million for companies he has been involved with in a senior executive role. Mr. Morabito founded and has been the principal driving force behind a number of successful resource development companies including Alderon Iron Ore Corp., Excelsior Mining Corp. and has lead two companies from the junior listing stage through NYSE listings. In 2013, Mr. Morabito led the Alderon team that struck an off-take agreement with Hebei Iron and Steel Corporation, China’s largest steel producer and the second largest steel producer in the world, in Hebei’s first ever foreign investment deal worth over CDN$400 million.
Mr. Morabito has a BA from Simon Fraser University (1990) and completed his J.D. at the University of Western Ontario (1993), after which time he practiced as a Canadian securities lawyer (1994-2001).
Dr. Craig Bow, Ph.D.
Vice President Exploration
Dr. Bow has over 35-years of domestic and international metals exploration experience. He obtained his Ph.D. in geology from the University of Oregon in 1979, and subsequently his global experience has extended to over a dozen countries, from greenfield exploration projects to advanced staged development. In the USA, he has direct mineral exploration experience in Nevada and Utah, most recently as a geologic consultant for AngloGold Ashanti. Dr. Bow’s accomplishments over his distinguished career include contributing to the evolution of the Stillwater PGE project from an initial exploration stage to positive production decision, directing Cyprus Amax entry into copper and gold exploration in Peru and Colombia, and enhancing the performance of Newcrest as a gold explorer in South America. He managed a technically and financially successful gold exploration program in Central America and Canada as Exploration Manager North America for Gold Fields, and provided the catalyst for Gold Fields entry into the Arctic Platinum partnership with Outokumpu. Dr. Bow will focus on developing and managing the exploration program on the gold projects that are under option from Pilot Gold. Dr. Bow is a Qualified Person with the American Institute of Professional Geologists and is a member of the Society of Economic Geologists.
Carlo Valente, BBA, CA, CPA
Chief Financial Officer
Mr. Valente is a Canadian Chartered Professional Accountant with over 19 years of international business development, corporate advisory, M&A, corporate finance and accounting experience. Since 2012, Mr. Valente has been leading the multi-disciplined business development team at King & Bay West Management Corp., a merchant bank and technical services group. During this time, Mr. Valente has also served as CFO of five different publicly listed and private companies which collectively raised more than CDN$200 million.
Prior to joining King & Bay West, Mr. Valente worked a total of 15 years for the Vancouver and Milan offices of PwC, most recently as managing director in the transaction advisory group. At PwC, Mr. Valente oversaw teams involved in extensive business, financial, operational, tax and IT due diligence on cross-border transactions for corporations, pension funds and private equity firms.
Carlo graduated from Simon Fraser University in 1997 with a BBA and obtained his Chartered Accountant designation in 2000. He is a member of both the Institute of Chartered Accountants of British Columbia and the Canadian Institute of Chartered Accountants.
For the past 9 years, Ms. Paine has acted as Corporate Secretary for a number of public companies trading on various stock exchanges. Ms. Paine has over 30 years’ experience as a senior legal assistant, specializing in corporate, securities and regulatory matters. Prior to 2007, Ms. Paine was a legal assistant to a senior partner in the securities department of a large international law firm. During that time, Ms. Paine was responsible for, among other things, assisting clients with financings, regulatory filings, administering stock option plans, drafting agreements and other legal documents, and coordinating the papering and closing of various transactions for public companies.
